Hub Group Inc. investors face an Aug. 28 lead plaintiff deadline in a securities class action after the logistics company disclosed a $77 million accounting error.
"The Company's financial statements contained material misstatements caused by the premature and incorrect recognition of certain transactions," the complaint filed in the Northern District of Illinois alleges. The lawsuit, Lawler v. Hub Group, Inc., No. 26-cv-07596, names the company and certain current and former executive officers as defendants.
Hub Group first disclosed the issue on Feb. 5, 2026, when it announced a $77 million understatement of purchased transportation costs and accounts payable in the first nine months of 2025, prompting plans to restate its first, second and third quarter 2025 financials. Shares fell $9.37, or 18.25 percent, to close at $41.96 the following day.
Then on May 12, the company said it had "identified certain transactions that were prematurely or incorrectly recognized or not adequately supported," rendering its 2023 and 2024 annual reports materially misstated and "no longer reliable." Hub Group said it expects to conclude it did not maintain effective disclosure controls or internal control over financial reporting for either year. The stock dropped another $5.24, or 12.5 percent, to $36.62.
The class period covers purchases between April 28, 2023 and May 11, 2026. Multiple law firms — including Kaplan Fox & Kilsheimer, Robbins Geller Rudman & Dowd, Rosen Law, and Bleichmar Fonti & Auld — have filed or announced actions on behalf of investors.
The two disclosures erased more than $1 billion in market value from the Oak Brook, Illinois-based company, which provides transportation and logistics management services across North America. Investors who moved the court by Aug. 28 may seek appointment as lead plaintiff, a role that directs the litigation on behalf of the proposed class.
