All In FutureTech Alliance Inc. (Nasdaq: AGAE) is acquiring a 57.67% controlling interest in HyalRoute Fiber-Optic Communication Group in a deal valued at $4.0 billion, accelerating its transformation into a global technology operator centered on AI infrastructure.
"From this point forward, the Company will move ahead with a leaner and stronger foundation, fully advance its subsequent restructuring initiatives, pursue a transformative repositioning, and accelerate the execution of its established strategic transformation plan," James Li, Chairman and Chief Executive Officer of AIFA, said in a recent statement regarding the company's new direction.
The definitive agreements value HyalRoute at US$4.0 billion, with AGAE set to issue shares to acquire the controlling stake at a reference price of US$10.00 per share. The deal provides AGAE with control over HyalRoute’s extensive and scarce fiber-optic network assets across Southeast Asia. Further details on the transaction, including expected closing timelines and required regulatory approvals, were not yet disclosed.
This acquisition solidifies a major strategic pivot for AGAE, which was formerly an experiential entertainment business known as Allied Gaming & Entertainment. The move repositions the company to capitalize on the high-growth AI sector by creating an integrated platform combining "Optical Compute + Optical Transmission," leveraging HyalRoute's critical infrastructure to support AI-driven services. The company recently resolved major litigation and filed its delayed 2025 annual report, clearing the way for this new strategic focus.
Strategic Shift to AI Infrastructure
The acquisition of HyalRoute is the cornerstone of AIFA's new strategy to build an innovative operating company driven by two core engines: an "AI-powered fiber-optic infrastructure platform" and an "AI application ecosystem." By securing a majority stake in one of Southeast Asia's leading fiber-optic providers, AIFA gains a significant competitive advantage in a market where such infrastructure is a limited and highly valuable resource.
The company stated its goal is to build an integrated ecosystem combining AI compute capacity, fiber-optic network infrastructure, and AI applications. This transaction is the first major step toward realizing that vision, moving the company away from its legacy entertainment operations and firmly into the technology and AI infrastructure space.
